## Disgorgement

Disgorgement is a legal remedy where a defendant is required to give up profits obtained through illegal or unethical acts. In SEC enforcement cases, it aims to prevent unjust enrichment rather than punish the defendant.

When a crypto project is found to have sold unregistered securities, the SEC may demand the return of all funds raised from investors. These funds are often placed into a fair fund for distribution back to harmed investors.

Disgorgement acts as a financial deterrent against securities law violations. It ensures that perpetrators do not retain the economic benefits of their illicit activities.
