Active Management Liability

Active Management Liability refers to the legal responsibility held by individuals who actively manage or control a DAO's operations. This includes developers who maintain the code, core team members, and token holders who frequently vote on protocol changes.

Unlike passive participants, these individuals are more likely to be seen as "control persons" by regulators. If they have the power to alter the protocol or control the treasury, they may be held liable for the organization's actions.

This creates a disincentive for deep involvement in governance. To mitigate this, some DAOs move toward more automated or immutable code.

However, as long as there is human intervention, there is potential for liability. It is a central tension in the design of decentralized systems.
